These Terms and Conditions (“Terms”) govern your access to and use of the website located at biovexia.co (the “Site”) and any products purchased through it. The Site is operated by Biovexia LLC, doing business as Biovexia Labs (“Company”, “we”, “us”, “our”). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms in their entirety. If you do not agree, do not use this Site and do not place an order.

All products sold through this Site are sold exclusively for in-vitro laboratory research use. They are not intended for use in humans, are not intended for use in animals, and are not intended for any diagnostic, clinical, therapeutic, cosmetic, nutritional, or veterinary application. They are not drugs, dietary supplements, food, cosmetics, or medical devices, and they have not been evaluated or approved by the U.S. Food and Drug Administration (FDA), Drug Enforcement Administration (DEA), or any other regulatory authority for use in humans or animals.

Products sold by Biovexia Labs are not pharmaceutical grade and may not be used as Active Pharmaceutical Ingredients (APIs) in any compounding context, including compounding under Section 503A or 503B of the Federal Food, Drug, and Cosmetic Act. Products labeled “research use only” cannot be lawfully used in human or veterinary compounding.

By creating an account and by placing an order, you represent and warrant that:

• You are at least 21 years of age;
• You are a qualified researcher or laboratory professional registering in a professional or research capacity;
• You will use products solely for in-vitro laboratory research;
• You will not administer, prescribe, dispense, ingest, inject, apply, or otherwise provide products to any person or animal, including yourself;
• You will not use any product as a component in human or veterinary compounding;
• You will not resell, redistribute, or transfer products for any use other than in-vitro laboratory research;
• You are solely responsible for compliance with all federal, state, local, and institutional laws, rules, and regulations governing the handling, storage, transport, and use of research chemicals at your location;
• You assume all risk and liability arising from your end use of any product, including any use inconsistent with the research-use representations made in connection with your purchase.

Biovexia Labs is a research chemical supplier. We do not compound, dispense, or prescribe pharmaceuticals.

Biovexia LLC is not an FDA-registered drug manufacturer, an FDA-registered API manufacturer, a 503A or 503B compounding pharmacy, a wholesale drug distributor, or a pharmacy. We are not a medical provider, healthcare provider, or pharmaceutical manufacturer of any kind.

Nothing on the Site, in any product listing, in any email, in any social media post, or in any communication from Biovexia Labs constitutes medical advice, a prescription, a diagnosis, a treatment recommendation, dosing guidance, or a representation that any product is safe or effective for any purpose other than in-vitro laboratory research. You should consult a licensed healthcare professional for any question regarding your health.

Compound descriptions, molecular data, sequence information, structural diagrams, bibliographic references, and any scientific literature referenced on the Site are provided as general scientific reference information regarding the compound. They are not product claims, medical claims, marketing claims, or representations regarding the properties, effects, efficacy, or suitability of any product for any particular purpose.

References to published research are bibliographic only. They do not constitute endorsement of any conclusion or finding contained in the referenced work, and they do not reflect any position of Biovexia Labs regarding the use, effects, or characteristics of the referenced compound. Biovexia Labs does not represent that any compound has any particular effect, function, or biological activity in vivo or in vitro.

Each product page lists a minimum purity specification (for example, ≥99% or ≥98%). This specification represents the minimum acceptance criterion for products supplied by Biovexia Labs under that listing.

Biovexia Labs makes no representation regarding the specific characteristics of any individual lot beyond the published specification on the product page. Buyer accepts each product subject to its published specification.

To purchase products you must register an account and provide accurate, complete, and current information, including your name, institution or organization, stated research focus, and confirmation of age and research-use intent. You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account. We may refuse, suspend, or terminate an account at our sole discretion, including where we believe information provided is inaccurate, incomplete, or where use is inconsistent with these Terms.

All prices are listed in U.S. dollars and do not include applicable taxes or shipping unless specifically stated. Prices, product availability, and specifications are subject to change without notice.

Payment is accepted via cryptocurrency through our third-party payment processor. Order confirmation occurs upon payment confirmation on the relevant blockchain. Cryptocurrency transactions are non-reversible; once a transaction is confirmed, refunds may only be issued at the discretion of Biovexia LLC and subject to the limits set forth in these Terms.

All orders are subject to acceptance by Biovexia Labs. We reserve the right to decline or cancel any order at our sole discretion, including after order confirmation, and to refund payment for any declined or canceled order. Acceptance of an order does not constitute medical advice, a prescription, an endorsement of any particular use, or any representation regarding suitability of the product for any purpose other than in-vitro laboratory research.

Biovexia Labs currently ships within the United States only. Standard shipping is a flat rate of $12 per order. Orders with a subtotal of $250 or more ship free.

Orders are generally dispatched within 48 hours of order confirmation on business days, excluding weekends and observed holidays. Shipment protection is included on every order: if a shipment is lost in transit, stolen after delivery, or arrives visibly damaged, you may request a one-time replacement by contacting us within seven (7) days of the delivery date (or the expected delivery date for lost shipments) with supporting documentation. Shipment protection is a one-time replacement remedy per order and does not extend to subsequent reshipments.

Buyer is solely responsible for compliance with all federal, state, local, and institutional regulations governing receipt, possession, and use of research chemicals at the delivery address. Buyer warrants that receipt of any product at the address provided does not violate any applicable law.

Because of the nature of research chemicals and to maintain product integrity, all sales are final and no returns are accepted. Shipment protection under Section 8 is the sole remedy for loss, theft, or transit damage. If you believe you received an incorrect product or a product that does not match its published specification, contact us within seven (7) days of receipt and we will work with you to resolve the matter.

You may not use, permit the use of, or direct the use of any product purchased from Biovexia Labs for:

• Use in humans, including self-administration, administration to others, ingestion, injection, topical application, or any clinical, diagnostic, therapeutic, cosmetic, or nutritional purpose;
• Use in animals, including veterinary, agricultural, or companion-animal purposes;
• Use as an Active Pharmaceutical Ingredient (API) in compounding for human or veterinary use, including compounding under 503A or 503B of the Federal Food, Drug, and Cosmetic Act;
• Preparation, blending, or formulation for human or animal consumption;
• Resale, redistribution, or transfer for any non-research use;
• Marketing, advertising, or promotion for any purpose other than in-vitro laboratory research;
• Any use that violates any applicable federal, state, local, or institutional law or regulation, including any sport-related anti-doping rule.

Laws governing research chemicals vary by state and jurisdiction. By placing an order, you represent and warrant that:

• You are not located in, and will not direct delivery to, any jurisdiction in which the receipt, possession, or intended use of any ordered product is prohibited;
• You have independently verified that the receipt and possession of the ordered product is lawful in your jurisdiction;
• If you are subject to institutional, employer, or organizational policies governing research chemical handling, you are in compliance with those policies;
• You will not divert, resell, or transfer any product in violation of any applicable law or regulation.

Biovexia Labs reserves the right to decline orders to any jurisdiction at its sole discretion, including in response to changes in applicable law.

To the knowledge of Biovexia Labs as of the last-updated date of these Terms, the products in our catalog are not scheduled controlled substances under the federal Controlled Substances Act. Federal scheduling and state-level scheduling can change. Buyer is solely responsible for verifying the regulatory classification of any ordered product under federal law and the law of buyer’s jurisdiction at the time of purchase and at the time of intended use.

Buyer further acknowledges that certain compounds available in the catalog have been identified by the U.S. Food and Drug Administration on Category 2 of the 503A bulks list. This designation restricts use of the substance as an API in human compounding and reflects the FDA’s stated concerns regarding immunogenicity, peptide-related impurities, and limited human safety data. Products sold by Biovexia Labs are not provided for any compounding use; this designation is referenced for buyer awareness only.

Products are provided “as is” and “as available” for in-vitro laboratory research use only. To the fullest extent permitted by law, Biovexia LLC disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

Without limiting the foregoing, Biovexia LLC makes no warranty that any product is safe or suitable for use in humans or animals, and no such use is authorized. Biovexia LLC makes no representation regarding the biological activity, mechanism of action, or therapeutic potential of any compound.

To the fullest extent permitted by law, Biovexia LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Site, any product, or these Terms, whether based in contract, tort, strict liability, or any other theory, and whether or not Biovexia LLC has been advised of the possibility of such damages. In no event shall Biovexia LLC’s aggregate liability arising out of or relating to any product exceed the amount actually paid by you for the specific product giving rise to the claim.

You agree to defend, indemnify, and hold harmless Biovexia LLC and its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of any product, including any use inconsistent with the research-use representation; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) any use of a product in a manner prohibited by Section 10; (e) your provision of any product to any third party; or (f) any third-party claim arising from your conduct, including injury or harm resulting from human or animal use of any product purchased from Biovexia Labs.

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law provisions. Subject to Section 17, the state and federal courts located in Wyoming shall have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to the personal jurisdiction and venue of those courts.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product (collectively, a “Dispute”) shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual action in small-claims court for any qualifying Dispute. The arbitration shall be conducted in English and seated in Wyoming. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Class action waiver. You and Biovexia LLC each agree that any Dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator shall have no authority to consolidate claims or to preside over any form of class or representative proceeding.

We may update these Terms from time to time by posting a revised version to this page and updating the “Last updated” date above. Changes are effective when posted. Your continued use of the Site or placement of any order after the revised Terms are posted constitutes acceptance of the revised Terms. Material changes will be communicated by email to registered account holders where reasonably practicable.

If any provision of these Terms is held unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy referenced on this Site, constitute the entire agreement between you and Biovexia LLC regarding your use of the Site and your purchase of any product, and supersede any prior agreement on the same subject matter.
